These Terms of Use ("Terms") govern your access to and use of Qweira, a business messaging platform operated by USSE Software, a sole proprietorship owned by Mahmoud Khamis Abdel Naby Mostafa ("Qweira", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise using the platform, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, do not use the platform.
These Terms should be read together with our Privacy Policy, which explains how we handle personal data.
1. Definitions
- "Platform" or "Services" means the Qweira web application and related APIs, connectors and services for business messaging, campaigns, chatbots, a shared inbox, contact management and analytics.
- "Channels" means the messaging channels supported by the platform, including WhatsApp, SMS/SMPP, and Telegram.
- "Account" means the organisation account you register, including its authorised users and roles.
- "Contacts" or "Recipients" means the end-customers and individuals whose data you upload to or message through the platform.
- "Content" means messages, templates, media, contact lists and any other data you submit to the platform.
2. Eligibility & Account Registration
- The platform is intended for business use by legal entities and individuals aged 18 or older with the authority to bind their organisation.
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your Account, including the actions of users you invite and the roles/permissions you assign them.
- You must notify us promptly of any unauthorised use of your Account.
3. Description of the Services
Qweira enables businesses to communicate with their customers across multiple channels. Depending on your plan, features may include:
- Sending individual and bulk messages, and running marketing campaigns across WhatsApp, SMS and Telegram.
- Building automated chatbots and message flows.
- A shared/unified inbox for two-way conversations and team collaboration.
- Contact and list management, including import, merge and segmentation.
- Campaign analytics, delivery reporting, team-performance dashboards and AI-assisted recommendations.
We may add, modify or discontinue features from time to time. Material changes that adversely affect a paid feature will be communicated in advance where reasonably practicable.
4. Acceptable Use
You agree not to use the platform to:
- Send unsolicited messages (spam) or message recipients who have not given valid consent or who have opted out.
- Send content that is unlawful, fraudulent, deceptive, defamatory, obscene, hateful, or that infringes intellectual property or privacy rights.
- Distribute malware, phishing links, or engage in any activity that harms the platform, other users, or third parties.
- Circumvent messaging limits, quotas, rate limits, or attempt to gain unauthorised access to any system.
- Violate the terms, policies or usage rules of any underlying Channel or third-party provider (see Section 6).
- Resell or provide the Services to third parties except as expressly permitted by your plan.
We may investigate suspected violations and may remove content or suspend access to protect the platform, our users, or third parties.
5. Recipient Data & Consent (Your Responsibility)
This is a critical obligation. When you upload contacts and send messages, you act as the data controller for that recipient data, and Qweira acts as your processor. You represent and warrant that:
- You have obtained all necessary consents and have a valid legal basis to collect the recipients' data and to contact them on each Channel you use.
- You will honour opt-out / unsubscribe requests promptly and will not message recipients who have opted out.
- You comply with all applicable laws and Channel-specific rules governing marketing and transactional messaging (including anti-spam and telecom regulations).
- You are solely responsible for the accuracy and lawfulness of the Content and recipient lists you submit.
6. Third-Party Channels & Providers
The platform connects to third-party channels and providers, including Meta/WhatsApp, Telegram, and SMS/telecom carriers. Your use of each Channel is also subject to that provider's own terms and policies. We are not responsible for the availability, decisions, message throttling, account bans or policy enforcement of these third parties, and such actions are outside our control.
7. Subscriptions, Billing & Refunds
- Paid plans are billed in advance on the cycle shown at checkout, in EGP or USD depending on your region. Prices and quotas are those displayed on our pricing page or in your order.
- Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled. You may cancel future renewals from your account or by contacting us.
- Message sending is subject to plan quotas and fair-use limits. Exceeding limits may require an upgrade or add-on.
- Except where required by law, fees paid are non-refundable and cancellation stops future charges without refunding the current period.
- We may change pricing on renewal with prior notice.
8. Intellectual Property
The platform, including its software, design, trademarks and content (excluding your Content), is owned by Qweira or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You retain all rights to your Content and grant us the limited licence needed to host, process and deliver it to provide the Services.
9. Availability & Support
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and availability may be affected by factors outside our control, including third-party Channels. Support is provided through the channels indicated for your plan.
10. Suspension & Termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the platform in a way that poses legal, security or reputational risk to us, our providers or third parties. You may stop using the platform at any time; termination does not entitle you to a refund except as required by law. Upon termination we will handle your data as described in the Privacy Policy.
11. Disclaimers & Limitation of Liability
To the maximum extent permitted by law, the platform is provided "as is" without warranties of any kind. We are not liable for indirect, incidental or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Qweira harmless from claims, damages and costs arising from your Content, your use of the platform, your messaging activity, or your breach of these Terms or applicable law, including claims by message recipients or third parties.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised effective date, and where changes are material we will provide reasonable notice. Continued use of the platform after changes take effect constitutes acceptance.
14. Governing Law & Disputes
These Terms are governed by the laws of the Arab Republic of Egypt. The parties will seek to resolve disputes amicably; failing that, the competent courts of Egypt will have jurisdiction, without prejudice to any mandatory consumer-protection rights.
